Prepare the duly filled out Information Sheet for New Business.
Go to the SEC Website for Business Registration - SEC Registration.
To continue, click the “Proceed to Regular Processing” button. The application form will be displayed next.
For submission of the Application Form:
• NAME VERIFICATION
• Provide correct details for applicant/authorized representative contact details section, company type section using the provided drop-down fields, company name section, and click the ‘Next’ button to proceed.
• Click the button "Click here" to send OTP to email and enter the One-Time Passcode (OTP) sent to your email and click the ‘Save and Proceed’ button.
• To reserve the name, click the “Click here to Reserve Company Name” button.
• COMPANY DETAILS
• Enter the Purpose of the business.
• Provide correct and complete information for the Principal Office Address section.
• Enter current and valid business contact information and click the “Save and Proceed” button.
• CAPITAL STRUCTURE
• Enter the correct values in the respective fields then enter information for Capital Structure details.
• Enter details for Authorized Capital Stock. For the other fields, use the provided textboxes, checkbox, dropdown, and date picker to supply the information, then click the “Save and Proceed” button.
• COMPANY OFFICERS
• Enter correct and valid information for fields under Treasurer section and company officers.
• Add New Incorporator/Director/Subscriber and enter the required information on the form.
• For the subscription details, enter the required information and then click the “Save and Proceed” button.
• FILE UPLOADING
• If necessary, upload the needed Name Appeal document and application requirements, or you may click the “Save and Proceed” button if uploading of a document is not necessary.
• APPLICATION REVIEW
• Download and check the file carefully if all information is correct and complete.
• Click “I have read and agreed to the terms of service, privacy policy, and certification”, enter the correct verification code, and click the “Submit Application” button.
• UPLOADING OF SIGNED AND AUTHENTICATED OR NOTARIZED DOCUMENTS
• An email notification of Pre-Approved Application status will be sent to the authorized representative’s registered email. Click the link to go to your application.
• Once signed, upload the authenticated or notarized file/s by clicking the “Upload Documents” button.
• Click the browse button to upload the file then click the save button. Please ensure to upload PDF format file with a maximum of 3MB size per file.
• An email notification of status will be sent to the authorized representative’s registered email.
• Note: If the uploaded signed and authenticated or notarized documents are correct, an email notification of Approved Application status will be sent and you may proceed to payment of registration fees.
• Note: If there are corrections or deficiencies in the uploaded signed and authenticated or notarized documents, an email notification of Disapproved Uploaded Documents status will be sent to the authorized representative’s registered email. Click the link to redirect to your application form.
• DOWNLOADING OF THE DIGITAL CERTIFICATE OF INCORPORATION
• Once the payment has been done and confirmed by SEC, an email of payment confirmation and notification for approved registration will be sent.
• You may now download the Digital Certificate of Incorporation by clicking the link provided in the email notification for approved registration.
• They will email the confirmation once the Certificate of Articles of Incorporation has been approved and present the appointment letter from SEC for claiming the documents.
• Once the Digital Certificate of Incorporation is released, the SEC will send an email to the company official email address containing the temporary username and password of the corporation for their EFAST Account.
• ENROLL THE COMPANY TO ELECTRONIC FILING & SUBMISSION TOOL (EFAST)
• Prepare the Secretary Certificate Notarized - format is located at the bottom of the user login portal page.
• Go to the SEC Website eFAST - eFAST.
• Sign In with the username & password - you can get the temporary username and password from the company official email address.
• Then change the temporary username and password, then log out and return to login with the new username and password.
• Click the video tutorial from SEC down below and follow the instructions.
NEW BUSINESS
a. Proof of Business Registration (DTI for Sole Proprietorship/SEC for Corporations and Partnerships/CDA for Cooperatives (Required).
b. Duly notarized Contract of Lease (if leased) or Tax Declaration (if owned) (Required).
Reminders: The Contract of Lease must include:
i. TCT/Property Description
ii. Area Size
iii. Contains/Indicates valid identity of Lessor and Lessee.
iv. Terms must include use as a place of business and specify area size.
c. Sketch and photos (both inside and outside) of the business location (when applicable).
d. Photocopy of Valid Government ID of Owner.
e. Other requirements that may be required and submitted (if applicable):
i. Tax Incentive Certificates
ii. Community Tax Certificate (Cedula).
iii. BMBE Certificate of Authority from DTI.
iv. Letter of No Objection (LONO).
v. Gambling Regulatory Advisory Council Resolution (GRAC).
vi. Special Permit / Fixed Term Special Permit.
vii. Market Certificate.
viii. Certificate of PEZA Accreditation
ix. Certificate of Exemption from DOST
x. ID of Authorized Representative.
xi. Signed Authorization Form
RENEWAL of BUSINESS
Prepare and submit the following as required:
a. Audited Financial Statement with proof of receipt of SEC/BIR.
b. VAT Returns / Income Tax Returns / Percentage Tax Returns.
c. Other related documents:
i. Proof of Authority (Secretary's Certificate or SPA) of the company/establishment's representative (when applicable).
ii. Notarized Monthly Gross Sales.
iii. Valid Government ID of Owner.
Prepare the duly filled out BIR Form 1903.
Attach the SEC Certificate of Incorporation and Articles of Incorporation (if corporation) and Articles of Partnership (if partnership).
Attach the Contract of Lease/Memorandum of Agreement, Mayor’s Permit and Proof of payment
Attach proof of payment of the Documentary Stamp Tax for the lease of the property, if proper.
Attach Photocopy of Government ID of the signatory and authorized representative with 3 specimen signatures.
Written Resolution (if OPC), Board Resolution/Secretary Certificate (if corporation), and Partners Resolution (if partnership) if transacting through an authorized representative.
Secure the BIR Certificate of Registration (2303) and apply for Authority to Print (ATP) invoices (official receipts).
With the ATP secured, have the invoices printed by a BIR accredited printer.
Register Books of Accounts thru Online Registration
• SEC (OPC/PARTNERSHIP/CORPORATION)
a. Go to the eAMEND Portal - https://eamend.sec.gov.ph/
b. Click the “+Apply for Amendment” button.
c. Read and tick the “Click All” for the Terms and Provisions and click the “Proceed Application” button.
d. Select “Simple” application.
e. Select Processing Office.
f. Enter SEC Registration Number and click the “Search” button.
g. Once the company has been FOUND, click the “OK” and “Next” buttons (if NOT FOUND, the system will prompt “what to do” instructions).
h. Select from the list of the amendment provisions.
i. Click the “Amendment Form” and fill out the necessary information (From and To).
j. Click the “Save Changes” and the “Next” buttons.
k. Click the “+Add Board Resolution” and fill out the necessary information.
l. Click the “Add Board Resolution” and “OK” buttons.
m. Click the “+Add Director” and fill out the necessary information.
n. Click the “Add Director” and “OK” buttons.
Note: Add at least the majority of the board.
o. Click the “+Add Corporate Secretary” button and fill out the necessary information.
p. Click the “Add Corporate Secretary” and “OK” buttons, then click the “Next” button.
q. For the Amendment Form, click the “Preview Template” and “Download Template” buttons.
r. Click the “Upload File” button to upload the necessary requirements.
s. For Other Supporting Documents, click the “+Add Document” button.
t. Upload the latest monitoring clearance issued by SEC or tick the box for Affidavit of Undertaking if the monitoring clearance is not available.
u. Click the “Preview Template” and “Download Template” buttons for the Affidavit of Undertaking, upload the document, then click the “Next” button.
• SUBMISSION OF APPLICATION
Tick the “I HEREBY CERTIFY” statement.
Click the “Submit Application” button.
Click the "Yes, Continue" button.
Click the “OK” button.
An email notification of “Pending Review” status will be sent to the email address of the applicant.
• PAYMENT OF APPLICATION
Once the application has been reviewed and pre-approved by the Assigned Processor, an email notification of “For Payment” status will be sent to the email address of the applicant. Open the Email Notice and log in to the eAMEND portal.
Open the Email Notice and log in to the eAMEND portal.
Click the “Applications” menu.
Search for the application with “For Payment” status.
Click the “View Application” button.
Click the “View” button to view the Payment Assessment Form (PAF).
Click the “Pay Online via eSPAYSEC” button.
The system will be redirected to the eSPAYSEC Portal.
Select from any of the Payment Methods.
Enter the Verification Code.
Click the “Proceed to Payment” button. The system will be redirected to the chosen Payment Gateway Portal.
Proceed with the Payment steps.
Once the payment has been successful, click the “Go back to eAMEND” button.
Payment Confirmation will be sent to the email address of the applicant.
• DOWNLOADING OF DIGITAL CERTIFICATE OF AMENDMENT AND SUBMISSION OF HARD COPIES
Once the application has been paid, an email notification of “For Submission” status will be sent to the email address of the applicant.
Open the Email Notice and download the digital Certificate of Amendment or log in to the eAMEND portal.
Click the “Applications” menu
Search for the application with “For Submission of hard copies” status
Click the "View Application" button
Click the "Download" button. The digital Certificate of Amendment will be downloaded
• SUBMISSION OF HARD COPIES
Open the Email Notice with “For Submission of hard copies” status
Submit the digital certificate of amendment and any proof of payment of the required fees together with the originally signed and notarized hard copies to the selected SEC Processing Office anytime within thirty (30) calendar days from the date indicated in the digital copy of the Certificate of Amendment.
• RECEIVING OF ORIGINAL CERTIFICATE OF AMENDMENT
Open the Email Notice with “For Releasing of Certificate” status.
Proceed to the selected SEC Processing Office on the scheduled date indicated in the email notice to receive the original certificate of amendment.
• BIR (OPC/PARTNERSHIP/CORPORATION)
a. File BIR Form 1905 (Application for Registration Information Update).
b. Submit the form with the updated SEC Certificate, new Mayor’s Permit, and other required documents to the RDO where the new business address is located.
c. Inform other relevant government agencies, such as the SSS, PhilHealth, and Pag-IBIG, about the change in business address to ensure all records are updated.
• CITY HALL (OPC/PARTNERSHIP/CORPORATION)
a. Fill out amendment form or write a letter informing the BPLO of the transfer of address
b. Pay the amendment fee
c. If needed, you might need to amend locational clearance and pay corresponding fee
d. A new Mayor’s Permit will be issued.
